Compliance Manager & AFSL Responsible Manager (NCP & FX Contracts)

Aspire Digital Group is seeking an experienced and dedicated Compliance Manager who will also serve as a Responsible Manager (RM) to be named on our Australian Financial Services Licence (AFSL) (1).
This role is crucial for maintaining the integrity, compliance, and governance framework of the company, focusing specifically on Non-Cash Payment (NCP) facilities and Foreign Exchange (FX) Contracts (excluding retail margin FX)(2). The RM will be jointly and severally responsible with the Board for ensuring the business complies with its obligations under the Corporations Act 2001 (Cth), ASIC regulations, and the specific authorisations of our AFSL(3).
The role offers flexibility and can be tailored as a part-time arrangement (requiring an agreed minimum number of hours per week) or a full-time position, depending on the candidate’s availability and the ongoing needs of the business. Salary starts at $135,000 based on skills and experience.
Key Responsibilities
AFSL Responsible Manager & Compliance Oversight:
The Compliance Manager serves as the primary Responsible Manager (RM) for the AFSL, ensuring:
- Continuous Compliance: The AFSL Holder continuously complies with all licensing conditions, obligations under Chapter 7 of the Corporations Act 2001 (Cth), and ASIC policy(5).
- ASIC Liaison: Act as a primary point of contact and liaison for ASIC on compliance matters, inquiries, and breach reporting(6).
- Documentation Review: Monitor, review, and approve client communication, marketing materials, and disclosure documents (e.g., Financial Services Guides (FSGs) and Product Disclosure Statements (PDSs)) to ensure accuracy and compliance(7).
- Governance Maintenance: Maintain and update the company’s Compliance Plan, Breach Register, and Conflicts of Interest Register(8).
- Reporting: Provide formal compliance reports to the Board/Directors on a regular (e.g., monthly) basis, detailing the status of key compliance metrics, identified risks, and necessary remediation actions(9).
Core Authorisation Management (NCP & FX):
- Non-Cash Payment (NCP) Facilities: Oversee the operational and regulatory compliance framework for the provision and use of Non-Cash Payment facilities(10).
- Foreign Exchange (FX) Contracts: Ensure that all wholesale and corporate FX contract dealings are conducted within regulatory guidelines(11).
- Resource Management: Ensure adequate resources (financial, technological, and human) are maintained to support the authorised services and manage business risks(12).
Risk, Training, and Supervision:
- AML/CTF Oversight: Oversee the continuous monitoring of anti-money laundering and counter-terrorism financing (AML/CTF) obligations relevant to the financial services provided(13).
- Staff Competence: Review and approve internal training materials and programs to ensure all relevant representatives and staff meet the competence requirements for their roles, and that all staff involved in FX are adequately trained and supervised(14).
- Remote Management: Effectively manage all oversight responsibilities from a remote setting, maintaining open and proactive communication with the Board and compliance team(15).
Essential Qualifications and Experience
- AFSL RM Requirements: Must satisfy the ASIC Responsible Manager knowledge and skills requirements for the AFSL authorisations (Non-Cash Payments and FX Contracts) (16).
- Relevant Experience: Demonstrable expertise and recent experience (within the last 5 years) working as a Responsible Manager, Key Person, or Senior Compliance Officer with an AFSL holder providing Non-Cash Payments and/or FX services(17).
- Regulatory Knowledge: Thorough working knowledge of the Corporations Act 2001 (Cth), ASIC Regulatory Guides (e.g., RG 104, RG 209), and FMA policies(18).
- AML/CTF: Strong understanding of AML/CTF obligations within the context of payment and FX services(19).
- Communication: Excellent written and verbal communication skills, with the ability to translate complex regulatory requirements into practical business procedures(20).
Flexible Working Arrangements
- This role is fully remote, allowing the Compliance Manager/RM to work from anywhere in Australia(21).
- The work schedule (part-time hours vs. full-time) is negotiable based on the candidate’s preference and the agreed-upon frequency of compliance oversight required by the compan(22).
